These Terms and Conditions (“Terms”) govern your access to and use of astramide.com (the “Site”) and any purchase of products from the Site. The Site is operated by Naturally Balanced, LLC, a Texas limited liability company doing business as Astramide (“Astramide,” “we,” “us,” or “our”).
By entering the Site, creating an account, or placing an order, you agree to these Terms and to our Research Use Only Policy, Privacy Policy, Shipping Policy, and Refund Policy. Together, these documents are the complete agreement between you and Astramide. If you do not agree, do not use the Site.
“Astramide” is an assumed name of Naturally Balanced, LLC. Every reference to Astramide in these Terms and in the policies listed above means Naturally Balanced, LLC.
Section 21 requires most disputes to be resolved by individual arbitration and waives class actions. Please read it carefully.
1. Definitions
“Account” means the registered account required to place orders on the Site.
“Buyer” or “you” means the individual qualified researcher or authorized professional who uses the Site, registers an Account, or places an order.
“Entry Acknowledgment” means the acknowledgment you must complete before entering the Site, including your confirmation that you are 21 or older and your acceptance of the six research-use statements.
“Products” means the research peptides, laboratory solvents, and related research materials offered on the Site.
“Research Use Only” or “RUO” means use only for in-vitro laboratory research by qualified professionals. It excludes human or animal consumption, clinical use, therapeutic administration, diagnosis, treatment, cure, prevention, and any other use outside a controlled research setting.
2. Research use only
All Products are supplied only for Research Use Only. Products are not drugs, medical devices, dietary supplements, food, or cosmetics. They are not intended, packaged, labeled, or sold for human or animal consumption, clinical use, or therapeutic use.
By buying, you acknowledge that:
(a) Products are research chemicals supplied only for in-vitro laboratory research;
(b) Products are not approved by the U.S. Food and Drug Administration (FDA) or any other regulator for any therapeutic purpose;
(c) you will not give, ingest, inject, inhale, apply, or otherwise introduce Products into a human or animal body, or cause anyone else to do so;
(d) you will handle, store, and dispose of Products under applicable laboratory safety standards and your institution’s procedures.
The full research-use terms are in our Research Use Only Policy, which is part of these Terms.
3. Regulatory status
Astramide is not a compounding pharmacy or outsourcing facility under Section 503A or 503B of the Federal Food, Drug, and Cosmetic Act. The FDA has not reviewed or evaluated any statement on the Site. Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition. Nothing on the Site is medical advice or a recommendation for any clinical or therapeutic use.
4. Buyer representations
By completing the Entry Acknowledgment, creating an Account, and placing each order, you confirm, on an ongoing basis, that:
(a) you are at least 21 years old;
(b) you are a qualified researcher or authorized professional acting in that role, with the training, facilities, and authority to handle research chemicals safely;
(c) you are buying Products only for in-vitro laboratory research done by you or under your direct professional supervision;
(d) you will not use, allow, help, or encourage the use of any Product for human or animal consumption, clinical administration, therapeutic use, or any non-research purpose;
(e) you live in the United States, and your shipping address is a genuine research, professional, or non-clinical address in the fifty United States or the District of Columbia that is not a restricted destination under the Shipping Policy;
(f) the research role you give us is accurate, and you will update your Account if the basis for your research status changes materially;
(g) all information you give us, including identity, age, professional role, shipping address, and billing information, is true, current, accurate, and complete;
(h) your purchase, possession, and use of Products follows all applicable federal, state, and local laws;
(i) you have read, understood, and agree to these Terms and the policies listed at the top of this page.
Breaking any statement in this Section 4 is a material breach of these Terms. It is, on its own, grounds for cancelling any pending order, suspending or closing your Account, and adding you to the permanent ban list in Section 13.
5. Eligibility and age
Only people aged 21 or older may use the Site or buy Products. You must confirm your age in the Entry Acknowledgment and at Account registration, and a new customer’s first order requires an adult signature (21+) on delivery. We may ask for more proof of age, identity, or professional role at any time.
If you are under 21, you may not use the Site, register an Account, place an order, or receive a shipment from Astramide.
6. Accounts and security
You need a registered Account to place an order. We do not offer guest checkout. Creating an Account requires confirming that you are 21 or older, accepting these Terms, and giving us your research role.
You are responsible for keeping your login details confidential and for all activity under your Account. Tell us promptly if anyone uses your Account without permission.
We may suspend or close any Account at our sole discretion, including for breach of these Terms, inactivity, or suspected fraud.
7. Order acceptance
Each order is an offer to buy, which we may accept or decline. We may decline, cancel, or hold any order at our sole discretion. Reasons include an address that fails the destination screening in our Shipping Policy, checkout information that does not match earlier information, an order that does not look like research purchasing, or an order we cannot ship lawfully. If we cancel all or part of an order, we refund the cancelled part as described in our Refund Policy.
Product availability, prices, and specifications may change without notice. We do not guarantee that prices or descriptions on the Site are error-free, and we may correct them at any time, including after you order.
8. Payment
We accept the payment methods shown at checkout. These currently include IDEM Payment and IDEM Crypto Payment, provided by third parties. When you choose one of these, you are sent to the provider’s platform to complete payment, and the provider’s own terms and privacy policy also apply.
By submitting a payment, you confirm that you are authorized to use the payment method and account, that your billing information is accurate, and that you authorize the payment of the order total, including tax and shipping.
Prices are in U.S. dollars. If you pay in cryptocurrency, the amount due is set by the provider at checkout, and you are responsible for sending the exact amount to the correct address on the correct network. Cryptocurrency transactions cannot be reversed. We are not responsible for losses caused by payment errors you make, network fees, or changes in cryptocurrency value.
We do not store full payment card numbers, bank account numbers, or wallet private keys.
9. Shipping
Our Shipping Policy is part of these Terms. It covers shipping, delivery, signature requirements, restricted destinations, and packing slips. Among other things, it says that we ship only within the United States, do not ship to PO Boxes or military addresses, require an adult signature (21+) on first orders, and screen shipping addresses.
10. Returns and refunds
Our Refund Policy is part of these Terms. Because of the nature of research chemicals, all sales are final except for damaged, defective, or incorrect orders as described in that policy.
11. Payment disputes
If you have a billing problem, contact us at info@astramide.com before opening a dispute with your bank, card issuer, or payment provider. We will work in good faith to fix any real problem.
If you open a dispute without first contacting us in good faith, we will suspend your Account right away and may add you to the permanent ban list in Section 13. If a dispute is unjustified, for example on an order that was delivered, signed for, and never the subject of a documented quality or fulfillment problem, we will contest it and may recover related fees and costs.
12. Acceptable use
You agree not to:
(a) use the Site or any Product in breach of any law or regulation;
(b) misrepresent your age, identity, professional role, or shipping address, or use the Site to help someone else do so;
(c) use the Site to resell, distribute, repackage, or supply Products to anyone for human or animal consumption, clinical use, or therapeutic use;
(d) reverse engineer, decompile, scrape, or systematically copy content from the Site for any commercial purpose without our written permission;
(e) introduce malware, attack the Site, try to access our systems or other users’ Accounts without permission, or otherwise interfere with the Site;
(f) submit or post anything unlawful, threatening, defamatory, or that infringes anyone’s intellectual property;
(g) use the Site, site chat, support tickets, or any other Astramide channel to ask for or describe dosing instructions, administration guidance, or any human-use protocol for the Products.
Breaking this Section 12 is, on its own, grounds for Account closure and permanent ban under Section 13.
13. Permanent ban policy
We keep a permanent ban list. If a customer, in any channel, states, suggests, describes, or asks about using Astramide Products for human or animal consumption, dosing, administration, or any non-research purpose, we ban that customer permanently, with no appeal. The channels include order notes, email, phone, text, social media messages, support tickets, site chat, dispute statements, and public posts.
A ban covers every Account, shipping address, payment method, email address, phone number, and other identifying detail linked to that customer. Banned customers may not create new Accounts. We document attempts to get around a ban, including using other identities, false shipping details, or third parties, and may report them to law enforcement or financial fraud investigators where they involve payment fraud, false statements, or other unlawful conduct.
Grounds for a ban include breaking Section 4, Section 11, or Section 12, and any conduct found through the destination screening in the Shipping Policy.
14. Product information; no warranty
We make reasonable efforts to keep product descriptions, specifications, batch data, and Certificates of Analysis on the Site accurate and current. However, the Site and the Products are provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted availability.
You alone are responsible for deciding whether a Product is stable enough for, suitable for, and compatible with your research. Batch-specific purity and identity data are in the Certificate of Analysis published for each batch.
15. Intellectual property
All content on the Site, including text, images, logos, graphics, page design, product photos, video, brand names, and the way product information is compiled, belongs to Naturally Balanced, LLC or its licensors and is protected by U.S. and international intellectual property laws.
You may not copy, reproduce, change, distribute, display, publish, license, sell, or create derivative works from any Site content without our written permission. You may view, download, and print Certificates of Analysis for your own orders for your own research records.
“Astramide” and its logos are trademarks of Naturally Balanced, LLC. These Terms do not give you any right to use them.
16. Feedback
If you send us feedback, comments, or suggestions (“Submissions”), you give us a permanent, irrevocable, royalty-free, worldwide license to use, copy, change, publish, and share them for any purpose, subject to our Privacy Policy. We will not publish Submissions that describe, ask for, or suggest human use of Products, and such Submissions may trigger the ban policy in Section 13.
We do not host customer reviews of individual Products on the Site.
17. Privacy
Our Privacy Policy is part of these Terms. It explains how we collect, use, and share information about you. By using the Site and creating an Account, you agree to the collection and retention of the information described there, including the Entry Acknowledgment record and the research role kept with each order.
18. Indemnification
You agree to indemnify, defend, and hold harmless Naturally Balanced, LLC (d/b/a Astramide) and its parents, subsidiaries, affiliates, officers, directors, members, managers, employees, contractors, agents, licensors, and service providers (the “Indemnified Parties”) against all claims, demands, actions, investigations, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising from or connected with:
(a) your access to or use of the Site;
(b) your purchase, possession, handling, storage, transfer, resale, or use of any Product;
(c) your breach of these Terms or any policy listed at the top of this page;
(d) your breach of any statement in Section 4;
(e) your breach of any law or of anyone else’s rights;
(f) any use of a Product, by you, by anyone you transfer it to, or by anyone who gets it because of your conduct, for human or animal consumption, clinical use, therapeutic use, or any non-research purpose;
(g) any misrepresentation of your identity, age, professional role, shipping address, or research role.
We may, at your expense, take over the exclusive defense and control of any matter you must indemnify us for, and you agree to cooperate fully with that defense.
19. Limitation of liability
To the fullest extent the law allows, the Indemnified Parties will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages. This includes lost profits, lost research data, lost business opportunities, lost goodwill, or the cost of substitute products, whatever the legal theory and even if we were told such damages were possible.
To the fullest extent the law allows, the Indemnified Parties’ total liability to you for all claims relating to these Terms, the Site, or any Product is limited to the amount you paid Astramide for the specific Product giving rise to the claim during the six (6) months before the event that caused the claim.
Some states do not allow certain warranty exclusions or damage limits. In those states, Sections 14 and 19 apply to the fullest extent the law allows.
20. Governing law and venue
These Terms, and any dispute relating to them, the Site, or any Product, are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to Section 21, any action allowed to be brought in court must be brought only in the state or federal courts located in Travis County, Texas. You consent to the personal jurisdiction of those courts and waive any objection that they are an inconvenient forum.
21. Dispute resolution; binding arbitration; class action waiver
Please read this section carefully. It affects your legal rights and limits how you can bring claims against Astramide.
21.1 Informal resolution. Before starting arbitration or a lawsuit, you agree to try to resolve the dispute by emailing info@astramide.com with a written description of the dispute and what you want. If it is not resolved within sixty (60) days after we receive your notice, either side may proceed under Section 21.2.
21.2 Binding arbitration. Except for small claims court cases and the exceptions in Section 21.4, any dispute relating to these Terms, the Site, or any Product will be resolved by binding individual arbitration run by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules in effect when the arbitration starts. The arbitration will take place in Travis County, Texas, or by video conference if both sides agree. The arbitrator’s decision is final and binding, and any court with jurisdiction may enter judgment on the award.
21.3 Class action waiver. Arbitration under this Section 21 will be individual only, not as a class, consolidated, or representative action. You and Astramide each give up any right to take part in a class action, class arbitration, or representative action for any dispute covered by this Section 21. If a court or arbitrator decides this waiver cannot be enforced for a particular claim, that claim will be separated and decided in court, and all other claims will stay in arbitration.
21.4 Exceptions. Either side may go to any court with jurisdiction for an injunction or other equitable relief to protect intellectual property or to enforce the permanent ban in Section 13.
21.5 Opting out. You may opt out of this arbitration agreement by emailing info@astramide.com within thirty (30) days after you first create an Account. Your email must include your full name, your Account email address, and a clear statement that you are opting out of arbitration. Opting out does not affect the rest of these Terms.
22. Severability; entire agreement; no waiver; assignment
If any part of these Terms is found invalid or unenforceable, it will be changed as little as needed to make it enforceable, and the rest stays in effect.
These Terms and the policies listed at the top of this page are the entire agreement between you and Astramide about the Site and the Products, and they replace all earlier agreements or communications on those subjects.
If we do not enforce part of these Terms, that is not a waiver of that part or any other right.
You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign or transfer these Terms as part of a sale, merger, reorganization, or similar transaction.
23. Changes to these Terms
We may change these Terms at any time. The version in effect when you place an order applies to that order. Material changes will appear on this page with a new “Last revised” date and, where appropriate, a notice to Account holders, and may require you to complete the Entry Acknowledgment again. Continuing to use the Site after a change takes effect means you accept it. If you do not agree to a change, stop using the Site and ask us to close your Account.
24. Survival
Sections 2 (Research use only), 3 (Regulatory status), 4 (Buyer representations), 11 (Payment disputes), 13 (Permanent ban policy), 14 (Product information; no warranty), 15 (Intellectual property), 17 (Privacy), 18 (Indemnification), 19 (Limitation of liability), 20 (Governing law and venue), 21 (Dispute resolution), and 22 (Severability) continue to apply after these Terms end or your Account closes.
